| Tom Riley has 25 years experience in the energy industry. Prior to forming Cogent Energy, Mr. Riley was Vice President for a large energy services company where he held a variety of management positions overseeing such functions as energy engineering, project development and account management. |
| Mr. Riley is a seasoned energy professional who previously started and ran a successful energy services business for an engineering and project management firm. Mr. Riley was responsible for all aspects of the business including business development, engineering, project management and operations. |
| Mr. Riley is past president of the Association of Energy Engineer's Bay Area Chapter and served two years on the California State University Board of Governors. He holds a B.S. in Mechanical Engineering from the University of California, Berkeley, and is a registered professional mechanical engineer in the state of California. |

Ed Spivey is an
accomplished engineer with 30 years experience in the energy services industry. His analysis and design experience includes central chiller and boiler plants, energy management and control systems, cogeneration, HVAC retrofits, steam distribution systems, variable flow pumping and air handling systems. Mr. Spivey has performed hundreds of energy studies and has managed the installation of over $50 million of successful energy projects. |
Mr. Spivey is a recognized leader in the energy industry. In 2000, Mr. Spivey was designated as the Association of Energy Engineers' "Energy Engineer of the Year". He is past president of the Association of Energy Engineer's Bay Area Chapter. Mr. Spivey was also project manager for a large energy management system project that resulted in a Certificate of Merit award from The California Energy Commission for achieving five-years of sustained energy savings. |
Mr. Spivey is a registered professional engineer in 12 states, including California. He holds both a Bachelor of Science and a Master of Science degree in Mechanical Engineering from the University of South Florida. |

| Mr. Chamberlin has over 27 years experience in the energy-engineering and project management fields. He is highly skilled in the development, analysis, design, implementation and maintenance of technology solutions for energy-related projects such as cogeneration systems, large integrated control systems, lighting and HVAC system retrofits, customized software products and waste heat recovery. |
| Mr. Chamberlin also has extensive project management expertise. He has successfully developed and managed high-performance teams in the installation of large, multi-trade projects and prepared and solicited construction documents for the execution of complex energy efficiency projects. In addition, Mr. Chamberlin is an effective business manager who has director-level experience leading multi-disciplined teams in setting and achieving business goals. |
| Mr. Chamberlin is a registered Professional Mechanical Engineer. He obtained his Bachelor of Science degree in Mechanical Engineering from the University of California at Davis and holds a Masters degree in Business Administration with a concentration in Project Management. He is Past President of the Bay Area Chapter of the Association of Energy Engineers. |

| Ed Jerome has over 14 years of experience
developing, quantifying, and managing energy and resource
efficiency projects. He is highly skilled in energy management
principles, savings quantification, measurement & verification
techniques, and implementation strategies for resource
conservation projects within commercial, industrial, and
agricultural facilities. |
| Prior to Cogent Energy, Ed worked for PG&E
conducting and managing over 200 preliminary and detailed energy
surveys within commercial, industrial, and agricultural
facilities. He then provided measurement and verification as
well as project development services for two large Energy
Services Companies serving both commercial and industrial
clients. Lastly, he entered the consulting business as a project
manager for an energy consulting company serving the needs of
utility clients. |
| Ed is an E.I.T. and a Certified Energy
Manager. He obtained his Bachelor of Science degree in
Mechanical Engineering from California State University,
Sacramento. |

| Charlotte Wagner has 15 years of experience
in the energy industry. She is an experienced engineering
professional who has conducted numerous energy studies and has
provided energy consulting activities. |
| Ms. Wagner is experienced in applying a
variety of technologies to all types of facility systems
including central chilled water and heating plants, chillers,
boilers, distribution systems, steam systems, HVAC, lighting,
and energy management and control systems. As a Project
Manager, she oversaw the development and implementation for
energy projects for several large customers. She has also been
a project controls engineer in which she developed, programmed,
and implemented sequences for automatic temperature control
systems for commercial buildings. |
| Ms. Wagner has served in numerous leadership
roles for the Society of Women Engineers, including President of
two local sections and national membership chair. She has
served on the Board of Governors for the Orange Empire chapter
of ASHRAE. She holds a B.S. in Mechanical Engineering from the
University of Maryland at College Park. Ms. Wagner is a
registered professional mechanical engineer in the state of
California, a Certified Energy Manager, and a Certified
Lighting Efficiency Professional. |
